Regulated Custodian Versus Regulated Exchange: Not the Same Thing

Two licences, two sets of obligations, and a difference that only becomes visible when something goes wrong.

A venue can be licensed to operate an exchange, to hold client assets, or both. The permissions are separate and the difference matters.

What an exchange licence covers

Operating a market: matching, listing, market integrity, and conduct toward customers. Obligations about fair dealing, disclosure and complaints.

It does not necessarily impose client asset rules of the kind a custodian faces.

What a custody licence covers

Holding assets belonging to others: segregation, reconciliation, record keeping, capital against operational risk, and frequently independent examination of controls.

This is the permission that speaks to whether your balance survives the firm.

Why venues hold both

Because customers leave balances at exchanges. A venue that matches trades and also holds assets is performing both functions whether or not it is licensed for both.

A venue performing custody without the permission is the case worth noticing.

How to check

Public registers list permissions, not just the existence of a licence. Read the entry rather than the logo.

The entry will name the activities authorised and any conditions attached.

The question that follows

If the venue is licensed only to exchange, who holds the assets. Either an affiliate, a third party, or the venue outside the perimeter.

Platforms that name their custodian answer this; those that do not are usually the third case.

What the combination gives you

Market conduct rules and client asset rules, from one supervisor, with one complaints route. For a customer this is the simplest arrangement to assess and to escalate within.

What neither gives you

A guarantee. A licence is a set of obligations and an inspection regime, not an insurance policy.

Its value is that obligations exist before a failure and that someone has the power to look. Both are absent at an unlicensed venue.

What to do with this

Check the register, note which permissions exist, and ask who holds assets if custody is not among them. A platform under a named regulator makes that a two minute exercise.

Collect & Exchange, which is licensed in Cyprus, publishes the framework it operates under, and a regulated venue rather than an unlicensed one is the entire difference between checking a register and taking a website at its word.
